we still don't know for sure what Fox is trying to do. are they trying to get a payoff? are they trying to get distribution rights? or are they trying to completely stop the movie from ever seeing the light of day? getting a payoff seemed like the unlikeliest answer, since whatever money WB gives them will be a drop in the bucket compared to the film's earning potential. distribution rights could pull in more money for Fox than a payoff. but a complete block of the film's release could be an attempt on Fox's behalf to shift the superhero movie momentum off WB in the wake of The Dark Knight's massive success since Fox has its own superhero movie, X-Men Origins: Wolverine, coming out next year as well. WB is upping the ante with serious superhero flicks that tackle deeper subjects like TDK and Watchmen, and all subsequent superhero films will likely be compared to them, and the comparisons likely be more favorable for TDK and Watchmen.

of course, there's already chatter among the fanboys of boycotting future Fox properties if Fox tries to prevent Watchmen's release, and i've heard that because of the proposed boycott, Fox won't be trying to prevent the film's release and just want some kind of compensation, but i don't know how valid that is. i guess we'll know in the coming weeks and months.
